The DAK Group, Ltd. announced the acquisition of essentially all of the assets of Boca Foods, Inc. through three separate strategic transactions. Boca Foods (Harrison, NJ), trading as The Century Cookie Company, is a fifty-four year old, privately held bakery, specializing in high quality holiday cookies.

DAK was retained by Boca Foods to maximize and realize the greatest possible value for its shareholders. DAK and the principles of Boca determined that selling the assets of the company to separate acquirers would significantly improve the transaction yield over a single unified transaction. With the cooperation of Boca's lender, DAK was able to negotiate and structure three separate transactions allowing Boca to realize its greatest value.

Silver Lake Cookie Company, Inc. purchased certain goodwill and intellectual property of Boca's, including the trade names, "The Cookie Jar" and "Century Cookies." Joseph Vitarelli, President of Silver Lake has said that he is happy to have the opportunity to bring this historical and prestigious production into his modern facility.

Fairfield Gourmet Foods, a specialty food company trading under several product lines, including David's Cookies, purchased Boca's operating equipment. Ari Margulies of Fairfield Gourmet Foods has said that he plans to move the equipment into a number of his divisions offering him greater capacity and efficiency in those units.

Finally, Harrison Heights Development, LLC purchased Boca's 50,000 square foot plant in Harrison, New Jersey with an eye toward developing the property with private homes in accordance with Harrison's economic development plan. -more- The terms of the transactions were not disclosed.
